Terms of Service & Engagement

The services on this website are provided by HASSON — Sole Proprietor (Israel), operating under the trade name ZIROUZ.

All engagements, payments, and services are conducted exclusively with HASSON.

ZIROUZ provides administrative services including:

• LLC formation in the United States and filing of Articles of Organization with the relevant state
• Registered Agent service for the first year
• Payment of state fees as part of the service package
• Preparation of a standard Operating Agreement template
• EIN application filing with the IRS
• Guidance for opening a U.S. business bank account (including Mercury)

This is strictly an administrative service and does not constitute legal, tax, or accounting advice.

By completing payment and accepting these terms, the client authorizes HASSON (ZIROUZ) to perform administrative actions on their behalf related to the requested services.

All forms and documents are prepared as drafts based on client-provided information and are submitted to the client for review, verification, and approval prior to filing.

Documents are signed by the client directly, unless explicit written authorization is provided otherwise.

ZIROUZ is not a law firm, legal representative, or power of attorney holder. It provides technical administrative services only.

The client bears sole responsibility for the accuracy, completeness, and currency of all information provided.

• The service includes a Registered Agent for the first year only.
• Renewal after the first year is the client's responsibility and subject to additional fees.
• Failure to maintain a Registered Agent may result in administrative dissolution of the entity by the state — the client assumes full responsibility.
• The Registered Agent is a third-party provider subject to its own terms and conditions.

• The Operating Agreement provided is a standard template only.
• It does not constitute legal advice and is not customized to individual circumstances.
• The client is responsible for consulting with a qualified U.S. attorney for full customization.

The client is solely responsible for:

• Filing Annual Reports
• Federal and state tax compliance
• Annual fee payments
• Regulatory filings such as Form 5472, where applicable

ZIROUZ is not responsible for the ongoing management or compliance of the entity after formation.

• Internal processing: 1–3 business days after receipt of all required documents.
• State processing: Varies by jurisdiction.
• IRS processing: Subject to IRS workload and outside the control of the service provider.

Processing times are estimates and are not guaranteed.

Once a filing has been submitted to a state authority or the IRS, the service cannot be canceled and no refund will be issued.

A full refund is available only if:

• No filing has been submitted
• The service provider has declined to process the request before work commenced

State fees and third-party payments are non-refundable.

The service includes administrative guidance for submitting a business bank account application.

ZIROUZ is not a bank and is not an official representative of Mercury or any other financial institution.

Account approval is not guaranteed and is at the sole discretion of the financial institution.

The service provider's liability is limited to the amount actually paid for the service.

No liability shall be assumed for indirect damages, lost profits, or decisions made by authorities, banks, or third parties.

The service is not intended for illegal activity, tax evasion, money laundering, or circumvention of regulations.

The service provider reserves the right to refuse any request that raises legal or regulatory concerns.

The client consents to receiving communications via email, WhatsApp, or other digital channels for the purpose of service delivery.

This does not constitute general marketing communications.

These terms are governed exclusively by the laws of the State of Israel.

Exclusive jurisdiction is granted to the courts of Israel.

The service provider reserves the right to update these terms from time to time.

Continued use of the website constitutes acceptance of the updated terms.
